This Affiliate Agreement (the “Agreement”) describes terms and conditions made and effective between you (as referred to as the “Affiliate” and/or “Webmaster”) and Vinter Company S.A., also recognized as “Adultrium.com” (as referred to as “Adultrium.com” and/or “Adultrium”).

By clicking on ‘I accept’, ‘create account’ and submitting the online application, the Affiliate is entering into this legal agreement with Adultrium.com and assertively stating that he/she has read, understands and accepts the following agreement. The Affiliate agrees to be bound by the given terms and conditions. Each and every term and condition must be accepted by the Affiliate in order for him to become a member of the Adultrium Affiliate Program.

1) The Affiliate must be at least eighteen (18) years old to participate as a webmaster in the Adultrium Affiliate Program and considered of legal age by the laws of the country/state/province where he/she is residing or where the business is conducted. No person younger than eighteen (18) years of age is allowed to participate in the Adultrium Affiliate Program. If the Affiliate is a corporation or any other legal entity, its directors, partners and shareholders must be over eighteen (18) years of age and/or over the age of majority if residing and/or conducting business in countries, provinces or states where the age of majority is above eighteen (18) years of age. Adultrium.com has the right to cancel the Affiliate’s account at any time if it is discovered that the Affiliate is under eighteen (18) years of age and/or under the age of majority. In this case all monies due will be forfeit as partial damages for the violation of the given Agreement.

2) The Affiliate must own and/or have the authority to enter into legal contracts on behalf of the owner of the website or any other entity that owns the rights to the website.

3) The Agreement and all its statements shall be in full force and effect commencing on the date accepted by Adultrium.com and exist until terminated in accordance with the provisions set forth herein.

4) All payments must be made in U.S. dollars (“USD”).

5) Adultrium.com sticks to a ZERO TOLERANCE policy relating to “spamming”. No spamming of any kind or in any form, whatsoever, is permitted to Adultrium.com's site. Adultrium does not allow Webmasters to promote and/or market any websites under this program by the means of the transmission of unsolicited bulk e-mails, therefore, it is extremely important that any mass e-mailings by you do not conflict with our policies.

6) Adultrium.com reserves the right to determine the way in which all payments shall be made. Generally, the pay period shall be split into two monthly periods: from the 1st of the month to the 15th of the month and from the 16th of the month to the last day of the month. Generally, payments shall be made 7 days after the end of pay period. Generally, the first payment is sent 7 days after end of pay period and subsequent payments are sent every 2 weeks thereafter.

7) It is entirely the Affiliate’s responsibility to maintain the operation and development of their website.

8) The Affiliate and its website must be in full compliance with Section 2257 of Title 18, United States Code, the “Records Keeping and Labeling Act” containing all information as required by Section 2257 of Title 18. It is the Affiliate’s legal obligation to comply with all amendments of Section 2257 of Title 18. The Affiliate affirms that all content on its website is compliant with Section 2257 of Title 18 and all persons appearing in the video were at least eighteen (18) years of age at the moment of content being created.

9) Adultrium.com abides by a ZERO TOLERANCE policy regarding any illegal content. Child pornography, torture, bestiality, death, rape, snuff and/or any other type of obscene/illegal materials shall not be tolerated by Adultrium.com. In case any complaints regarding any obscene/illegal materials are received and/or Adultrium.com finds any type of such materials on the Affiliate’s website, the Affiliate’s account shall be terminated and/or cancelled without any prior notice and the Webmaster shall be eliminated from the Affiliate Program. All monies due to the Affiliate will be forfeited as partial damages for violation(s) of the terms and services of the Agreement

10) Adultrium.com shall not tolerate any form of fraudulent, unfair and/or false advertising by the Affiliate and any practices of this kind are prohibited.

11) Adultrium.com shall not tolerate any spyware, ad-aware, any malicious ware and shall not accept referrals obtained through Spyware or ad-ware or any other software that sends data back to the user without his/her knowledge and/or consent.

12) The Affiliate acknowledges and agrees that Adultrium reserves the right to revoke the Webmaster’s status without prior notice, terminate his account and all retain monies due to the Affiliate as partial damages for violation(s) of the terms and conditions of the Agreement if the Affiliate has violated any of the terms of the agreement in sole discretion of Adultrium.com.

13) Adultrium.com reserves the right to cooperate in any investigation relating to your activities, including the disclosure of your personal information provided in your account in case any law enforcement agency, internet service provider or other individual or entity provide Adultrium.com with notice that the Affiliate is involved in the transmission of unsolicited e-mails or have otherwise engaged in unlawful conduct or conduct that violates the said service provider's terms of service.

14) Adultrium.com reserves the right to terminate this program at any time.

15) Adultrium.com holds no responsibility for any losses caused by server downtime, net congestions and any/all similar occurrences or difficulties.

16) Both Adultrium.com and the Affiliate shall not be liable for delay or failure to perform as required by the Agreement as a result of any causes that are beyond the Party’s reasonable control that can’t be overcome. Such causes include but not limited to acts of God, natural disasters, wars and etc.
